Beyond the Pack — The IM

For assets that clear our initial due-diligence gate, SAM requires a formal Information Memorandum — the instrument that institutional investors, sovereign wealth funds, and development finance institutions demand before any capital is committed at term-sheet level.

The Information Memorandum (IM) is not a pitch deck and it is not a summary — it is a comprehensive, independently verifiable investment document that confirms mineral viability through data, confirms title through legal opinion, and maps resources with precision sufficient to eliminate extraction guesswork for any institutional partner reviewing it.

Without a compliant IM, any capital conversation remains exactly that — a conversation. With one, it becomes a transaction. Asset owners and brokers who wish to progress beyond preliminary review must either present an existing, compliant IM or engage a qualified transactional advisory firm to produce one. SAM can facilitate introductions to accredited advisory partners where required.

The IM must be prepared to the standards set by South African development finance institutions and is expected to withstand the scrutiny of institutional due-diligence teams, independent auditors, and legal counsel. It is the single document upon which capital deployment decisions are made.

What a Compliant IM Must Contain

Legal Title Confirmation

Independently verified, unencumbered registered mineral claims. Corporate structure chart with SPV ring-fencing diagram. All statutory permits confirmed current and in force. Legal opinion signed by a practising mining attorney.

Geological Data Pack

All geological mapping, ground magnetic, IP and resistivity survey data, trench logs, and accredited Fire Assay certificates compiled into a structured investor-ready data room with chain-of-custody documentation throughout.

SAMREC Resource Estimate

Formal upgrade from inferred to measured and indicated mineral resource classification via a South African Mineral Reporting Codes (SAMREC) Competent Person's Report (CPR) — signed by a South African Council for Natural Scientific Professions (SACNASP)-registered geologist. This is a mandatory pre-production capital gate.

Financial Modelling

Five-year income statement, balance sheet, and cash flow with monthly Year 1 detail. All commodity price assumptions stated with source references. Conservative pricing at minimum 25–40% below current spot. Full IRR and NPV calculations per asset.

Capital Governance Framework

Milestone-bound tranche deployment schedule. Dedicated financial reporting framework specifying quarterly capital deployment reports, production summaries, and revenue reconciliation — all independently auditable by the institutional partner.

Off-Take Documentation

All confirmed Letters of Intent and signed supply agreements with accredited refineries, smelters, and commodity buyers — demonstrating guaranteed route to market and liquidity from the first day of commercial production.
